IQBaseline is an initiative of Xaephyr Reliance Group KK ("XRG", "we", "us", "our"), a Japan-based managed IT and technology services company. This policy applies to the IQBaseline website and platform, and is maintained consistently with XRG's group-wide legal and privacy practices.
These Terms and Conditions ("Terms") govern your use of the IQBaseline website and platform. By accessing or using this website or the IQBaseline platform, you agree to these Terms.

2. Description of Services
This website and the IQBaseline platform provide a suite of practical software tools for small and growing businesses — including VendorIQ, TechScribe, TriageIQ, Kairyu, ReferenceIQ, ExpenseIQ, MinutesIQ, XaephyrTrace, ClauseIQ, and SOPR — covering tasks such as vendor security questionnaire responses, resume and job description standardization, contract summarization, and related administrative workflows. Descriptions of these tools on this website are summaries only and do not themselves constitute a binding offer of service beyond what is set out in your organization's signed agreement with XRG, where one exists.
3. Client Engagements
Any engagement involving IQBaseline beyond self-serve use of the platform — including custom scope, pricing, or service levels — is governed exclusively by a separately signed statement of work, managed services agreement, or equivalent contract between XRG and the client. In the event of a conflict between these website Terms and a signed client agreement, the signed agreement controls.
4. Use of This Website and Platform
You agree not to use this website or the IQBaseline platform to:
- Attempt unauthorized access to, or otherwise attack, probe, or disrupt, this website, the platform, or its underlying infrastructure without prior written authorization (see our Security & Vulnerability Disclosure Policy for the authorized process to report findings).
- Access, or attempt to access, data belonging to another organization using the platform.
- Scrape, crawl, harvest, or extract data from this website or the platform using automated means (including bots, scripts, or headless browsers), or reverse-engineer, decompile, or attempt to derive the source code, underlying models, or prompts behind any IQBaseline tool.
- Submit false, misleading, or fraudulent information through any form or tool on this site.
- Violate any applicable law or the rights of any third party.
5. Intellectual Property
All content on this website and the IQBaseline platform — including text, graphics, logos, and the underlying design and software — is the property of XRG or its licensors and is protected by applicable intellectual property laws. No content may be reproduced, distributed, or used commercially without prior written permission.
6. No Warranty of Results
Outputs generated by IQBaseline's tools — including standardized documents, drafted questionnaire answers, and summaries — are provided to assist your work and are not a guarantee of completeness, accuracy, or compliance with any particular standard or regulation. 7. Third-Party Links and Services
This website and platform rely on third-party services (for example, our hosting provider Render, our email provider Resend, our AI model provider Anthropic, and Google Fonts). We are not responsible for the content, policies, or practices of third-party services outside our control.
8. Governing Law
These Terms are governed by the laws of Japan, without regard to conflict-of-law principles. Any disputes arising from these Terms will be subject to the exclusive jurisdiction of the Tokyo District Court, except where a signed client agreement specifies otherwise.
