IQBaseline is an initiative of Xaephyr Reliance Group KK ("XRG", "we", "us", "our"), a Japan-based managed IT and technology services company. This policy applies to the IQBaseline website and platform, and is maintained consistently with XRG's group-wide legal and privacy practices.
This page sets out important disclaimers and limitations that apply to your use of the IQBaseline website and platform and, unless expressly superseded by a signed client agreement, to XRG's services generally. Please read it carefully.
1. General Disclaimer
The information on this website is provided for general informational purposes only and does not constitute professional, legal, or technical advice specific to your organization. No action should be taken based solely on the content of this website, or on any output generated by IQBaseline's tools, without first obtaining tailored professional advice where appropriate.
2. No Guarantee of Uninterrupted or Fully Accurate Operation
IQBaseline provides software tools intended to speed up administrative and compliance-adjacent work. However, no software tool — including one that uses AI to draft, standardize, or summarize content — can guarantee complete accuracy, uninterrupted availability, or a specific outcome. AI-generated output may contain errors or omissions and should be reviewed by a qualified person before you rely on it.
3. Point-in-Time Nature of References
Where IQBaseline's tools reference external frameworks, questionnaires, or standards — for example, VendorIQ's workflows, which are modeled on real institutional third-party risk management (TPRM) frameworks — that reference reflects the frameworks and information available at the time the relevant tool was built or last updated. Standards, regulations, and best practices change over time, and IQBaseline does not guarantee that its tools reflect the most current version of any external framework.
4. Limitation of Liability
To the fullest extent permitted by applicable law:
- XRG, its officers, employees, and contractors will not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of, or inability to use, this website or the IQBaseline platform.
- XRG's total aggregate liability for any claim arising from this website or the platform will not exceed the total fees, if any, paid by you or your organization to XRG for the services giving rise to the claim in the twelve (12) months preceding the event giving rise to the liability.
- Nothing in this section limits liability where such limitation is not permitted under applicable law (for example, liability for death or personal injury caused by negligence, or fraud).
For client engagements, liability terms specific to the engagement are governed by the signed statement of work or managed services agreement, which take precedence over this general disclaimer.
5. Third-Party Services Disclaimer
This website and platform rely on third-party infrastructure, including application hosting and database infrastructure (Render), transactional email delivery (Resend), the underlying AI model (Anthropic), and web font delivery (Google Fonts). XRG is not responsible for outages, security incidents, or data handling practices of these third parties that are outside our direct control, though we select providers with reasonable care.
6. No Warranty
This website and the IQBaseline platform are provided "as is" and "as available," without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement, except as expressly stated in a signed client agreement.
7. Indemnification
Where applicable and set out in a signed client agreement, each party's indemnification obligations are as defined in that agreement. This website-level disclaimer does not itself create indemnification obligations beyond what is agreed in writing.
8. Force Majeure
XRG will not be liable for any failure or delay in performance resulting from causes beyond its reasonable control, including natural disasters, acts of government, internet or infrastructure outages, or large-scale cyberattacks against third-party providers.
9. Severability
If any provision of this page is found to be unenforceable, the remaining provisions will continue in full force and effect.
